Welcome to LocalWashAdvisor. These Terms of Service ("Terms") govern your access to and use of our website, platform, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or platform notification. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Eligibility

Business Accounts: To claim and manage a business profile, you must be an authorized representative of the business with legal authority to bind the business to these Terms.

• One account per person or business entity
• You must provide accurate, current, and complete information
• You are responsible for maintaining the confidentiality of your password
• You are responsible for all activities under your account

3.2 Account Security

• Notify us immediately of any unauthorized access or security breach
• Do not share your account credentials with others
• Use a strong, unique password
• Log out from shared or public devices

4. User Conduct and Prohibited Activities

You agree NOT to:

• Post False Content: Submit fake reviews, ratings, or business information
• Manipulate Reviews: Offer incentives for positive reviews, post reviews for competitors
• Claim False Ownership: Claim a business you do not own or have authority to represent
• Abuse Coupons: Create fraudulent coupons, manipulate redemption systems
• Spam: Send unsolicited messages, promotional content, or advertisements
• Harass Others: Engage in bullying, threatening, or abusive behavior
• Violate Laws: Use the Service for illegal purposes or activities
• Scrape Data: Use automated tools to collect data without permission
• Reverse Engineer: Attempt to access source code or underlying technology
• Interfere with Service: Disrupt, damage, or impair the Service's functionality
• Impersonate: Pretend to be another person or entity
• Abuse AI Chat: Use the AI assistant for malicious purposes or to generate harmful content

5. Business Owner Terms

5.1 Business Profile Claiming

To claim a business profile:

• You must be an authorized representative with legal authority
• Provide verification documents as requested
• Verification is at our sole discretion
• We may revoke verification if ownership cannot be confirmed
• One business profile per physical location

5.2 Business Information

Business owners are responsible for:

• Providing accurate, current, and complete business information
• Updating information promptly when changes occur
• Ensuring photos and videos accurately represent the business
• Complying with all applicable laws and regulations
• Honoring coupons and promotional offers published on the platform

5.3 Content Ownership

• You retain ownership of content you upload (photos, videos, descriptions)
• You grant us a worldwide, non-exclusive, royalty-free license to display your content
• You represent that you have rights to all content you upload
• You will not upload copyrighted material without authorization

6. Subscription and Payment Terms

6.1 Subscription Tiers

We offer free and paid subscription tiers. Features for each tier are described on our pricing page and may change from time to time.

6.2 Free Trial

• 30-Day Free Trial: New premium subscriptions include a 30-day free trial
• Credit Card Required: You must provide payment information to start a trial
• One Trial Per Business: Each business is eligible for one trial period, ever
• No Charges During Trial: Subscription fee is waived during the trial period
• Auto-Conversion: Trial automatically converts to paid subscription after 30 days unless canceled
• Trial Abuse: Downgrading to free and upgrading again will NOT grant a new trial

6.3 Billing and Payments

• Payment Processing: Payments are processed securely by our third-party payment processor.
• Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless canceled
  • Monthly plans renew every month
  • Quarterly plans renew every 3 months
  • Annual plans renew every 12 months
• Payment Authorization: By subscribing, you authorize recurring charges
• Price Changes: We may change pricing with 30 days' notice
• Failed Payments: If payment fails, your account may be suspended or downgraded
• Taxes: Prices exclude applicable taxes, which you are responsible for

6.4 Cancellation and Refunds

• Cancel Anytime: You may cancel your subscription at any time from your dashboard
• Access Through Billing Period: You retain access until the end of your current billing period
• No Pro-Rated Refunds: We do not offer refunds for partial months
• Downgrade: Downgrading to a lower tier takes effect at the next billing cycle
• Data Retention: Coupons and analytics data are preserved if you re-upgrade

Refunds may be provided in accordance with our posted refund policy.

6.5 Coupon Tools

Coupon tools are provided as part of the software service. Usage limits and available features depend on your subscription tier as described on the pricing page.

7. Coupons and Promotional Offers

7.1 Creating Coupons

• Business owners may create coupons within their tier limits
• Coupons must include clear terms and conditions
• You are responsible for honoring all published coupons
• Coupons cannot be edited after creation (to protect customers who already claimed them)
• To make changes, delete the coupon and create a new one

7.2 Coupon Restrictions

• Coupons must comply with all applicable laws and regulations
• No misleading or deceptive offers
• Must honor cooldown periods (e.g., 30 days between same-user redemptions)
• Cannot restrict coupon usage based on protected characteristics

8. User-Generated Content and Reviews

8.1 Review Guidelines

When posting reviews, you must:

• Base reviews on genuine personal experiences
• Be honest, fair, and factual
• Not accept compensation for reviews
• Not review your own business or competitors
• Avoid profanity, hate speech, or discriminatory language
• Not include personal information about others

8.2 Content Moderation

• We reserve the right to remove content that violates these Terms
• We may investigate and take action against fake or manipulated reviews
• Users may report inappropriate content
• We are not obligated to monitor all user-generated content

8.3 Content License

By posting content on the Service, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, display, reproduce, and distribute your content in connection with the Service.

9. Intellectual Property Rights

9.1 Our Intellectual Property

The Service, including its design, code, features, logos, and trademarks, is owned by LocalWashAdvisor and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or reverse engineer any part of the Service without our written permission.

If you believe content on our platform infringes your copyright, please contact us with:

10. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Guarantee of Accuracy

• We do not guarantee the accuracy of business information
• We are not responsible for user-generated content
• Business owners are responsible for their own information accuracy
• We do not endorse any businesses, reviews, or content on the platform

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCALWASHADVISOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless LocalWashAdvisor and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you post on the platform
• Coupons or promotional offers you create

12. Account Termination

12.1 Termination by You

• You may close your account at any time from your account settings
• Canceling a subscription does not delete your account
• To fully delete your account and data, use the "Delete Account" feature

12.2 Termination by Us

We may suspend or terminate your account immediately, without notice, for:

• Violation of Terms: Breaking any provision of these Terms
• Fraudulent Activity: Fake reviews, coupon fraud, payment fraud
• Illegal Activity: Using the Service for unlawful purposes
• Abuse: Harassing other users, spam, malicious behavior
• Non-Payment: Failure to pay subscription fees.
• Security Threat: Account compromised or poses security risk

12.3 Effect of Termination

• Your access to the Service will be immediately revoked
• Unpaid fees remain due and payable
• Your content may be deleted (though we may retain some data for legal purposes)
• These Terms survive termination where applicable

13. Dispute Resolution and Governing Law

13.1 Informal Resolution

Before filing a legal claim, you agree to contact us at support@localwashadvisor.com to attempt to resolve the dispute informally.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions.
